Terms and Conditions – Suttmeier Technical Strategies, LLC (STS)

By accessing or using any of the services provided by Suttmeier Technical Strategies, LLC ("STS"), you agree to be bound by the following Terms and Conditions. Please read them carefully. If you do not agree to these Terms, you should not use or subscribe to our Services.
1. Overview of Services
STS provides access to financial commentary and technical market insights for general informational and educational purposes only. These services may include free and subscription-based content delivered through email, the STS website, or other authorized distribution channels. STS does not act as a registered investment advisor, broker-dealer, or financial planner. No part of our Services constitutes personalized investment advice.
2. Subscription Access and User Credentials
Access to certain content on the STS platform is restricted to registered users or subscribers. You agree that any user identification and password issued to you are for personal use only. You shall not share your login credentials or permit others to access the content using your account. Any such sharing may result in immediate termination of your subscription without refund.
Subscribers may not:
• Share login credentials with others
• Redistribute STS content to non-subscribers
• Post STS research on public forums or social media without attribution
• Use STS content for any commercial purpose without written permission
Violation of these terms may result in immediate termination without refund.
3. Pricing, Billing, and Auto-Renewal
Subscription pricing is subject to change. STS reserves the right to revise subscription fees upon notice. Continued use of the services following such notice constitutes your acceptance of the new pricing or fees. Premium subscriptions automatically renew at the end of the applicable period unless you cancel prior to renewal. You are solely responsible for canceling your subscription before the renewal date. Refunds will not be provided for auto-renewals not canceled in advance.
4. Cancellation and Refund Policy
You may unsubscribe from free communications at any time via the unsubscribe link provided in our emails. For paid subscriptions, some offerings may include a money-back guarantee within a specific time frame. Terms of such offers vary and must be reviewed by you at the time of subscription. Canceling an email subscription does not constitute cancellation of a paid subscription.
All payments made by credit card are subject to third-party processing fees. In the event of a cancellation or refund for any reason, credit card processing fees incurred at the time of the original transaction are non-refundable. Any refunded amount will be issued net of applicable credit card processing fees.
5. Our Right to Terminate
We reserve the right to terminate your subscription at our sole discretion. If we terminate your subscription, you may be eligible for a pro-rated refund of the unused portion of your subscription. Termination may occur for violations of these Terms or misuse of Suttmeier content.
We may terminate or suspend access immediately, without prior notice or liability, for any reason, including but not limited to:
• Breach of these Terms and Conditions
• Misuse of content or sharing of login credentials
• Abusive or harassing behavior toward STS representatives or other subscribers
• Violation of applicable laws or regulations
• Suspected fraudulent payment activity
Upon termination for cause, no refund will be provided for unused subscription time.
6. Disclaimers on Investment Advice
STS is not a registered investment advisor, broker-dealer, or financial planner. All content provided by STS—including commentary, technical analysis, charts, trading strategies, and data—is offered solely for educational and informational purposes. STS does not provide investment recommendations, and none of the content should be construed as advice to buy, sell, or hold any specific security or financial product. You are solely responsible for making your own financial decisions.
7. Impersonal Nature of Content
The information and insights made available through STS Services are not tailored to the investment objectives or financial circumstances of any particular individual. Any mention of securities or strategies is made without regard to your specific situation, financial position, investment goals, or risk tolerance. STS does not conduct any assessment of suitability for any user.
7.5 Subscriber Questions and Blog Responses
From time to time, Suttmeier Technical Strategies may respond to subscriber questions or topic suggestions through blog posts, reports, webinars, or other content formats made available through the Services. Any such responses constitute general market commentary and educational content made available to all subscribers and, in some cases, the general public.
Subscriber questions and topic suggestions are selected by STS at its sole discretion based on their educational value to the broader subscriber base and their relevance to current market conditions and technical analysis principles. The selection of a particular question or topic for response does not create any advisory relationship between STS and the person who submitted the question.
Responses to subscriber questions are not tailored to the questioner's individual financial situation, investment objectives, risk tolerance, time horizon, portfolio composition, or any other personal circumstances. STS does not solicit, request, or consider any information about the questioner's personal finances, existing holdings, or investment goals when preparing responses.
By submitting a question or topic suggestion, you acknowledge and agree that:
• Your question may be published (with or without attribution) on the STS blog or in other STS content
• Any response represents general technical analysis and market commentary, not personalized investment advice
• The response is NOT a recommendation specific to your circumstances or a suggestion that you buy, sell, or hold any security
• STS may decline to answer questions that request personalized advice or analysis specific to individual portfolios or circumstances

• The response will be based solely on publicly available chart data and technical analysis principles
• No advisory relationship is created by the submission of a question or receipt of a response
STS reserves the right to edit questions for clarity, to aggregate similar questions, or to decline questions that request personalized advice, at its sole discretion. STS may use questions as springboards for broader educational discussions about technical analysis concepts and may reference multiple securities as examples even if the original question referenced only one.
By submitting a question, you represent and warrant that your submission does not infringe any third-party intellectual property rights, does not contain confidential information belonging to others, and does not include material that is defamatory, obscene, or otherwise unlawful. You agree to indemnify and hold harmless STS against any claims, damages, or expenses arising from your submitted content.
8. Past Performance and Risk Warning

11. Intellectual Property Rights
All content, research, analysis, charts, commentary, trademarks, logos, and materials provided through STS Services ("Content") are owned by Suttmeier Technical Strategies, LLC, Stephen Suttmeier, or STS's licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial purposes only. This license does not include any right to:
• Copy, reproduce, or duplicate Content except for personal reference
• Modify, adapt, translate, or create derivative works based on Content
• Distribute, sell, resell, license, sublicense, or transfer Content to third parties
• Share your login credentials or allow others to access Content through your account
• Post or republish Content on any public forum, social media platform, or website
• Remove or alter any copyright notices, trademarks, or proprietary rights notices from Content
• Use Content in any publicly available database, website, or application
• Incorporate Content into any commercial product or service
• Use automated tools to scrape, download, or systematically collect Content

Limited Sharing: You may share brief excerpts of Content (not to exceed 500 words per excerpt) with your personal financial advisor for the purpose of discussing your investment strategy, provided you include attribution to Suttmeier Technical Strategies and do not remove copyright notices.
Enforcement: Unauthorized use of Content may result in immediate termination of your subscription without refund and may subject you to civil and criminal penalties under intellectual property laws. STS reserves all rights to pursue legal remedies for intellectual property infringement.

12 Third-Party Links and Services
Our website or communications may contain links to third-party websites or services. STS does not control and is not responsible for the content, privacy policies, or practices of any third parties. Your interaction with third-party services is governed solely by their respective terms. STS disclaims all liability for any damages arising from use of third-party content or service.
13. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of STS Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
14. Force Majeure
STS shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, pandemic, government restrictions, internet or telecommunications failures, market disruptions, exchange closures that prevent data access, or other events of force majeure. In such events, content delivery may be delayed or modified without liability to subscribers.
15. Technology and Availability Disclaimers
Our Services are provided "as is" and "as available." STS does not guarantee uninterrupted access, timely delivery, or error-free operation. We disclaim all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. STS does not guarantee the accuracy, completeness, or reliability of any information and is not responsible for errors or omissions. You assume all risks associated with your use of our Services, including potential damage to your equipment or data.
16. Limitation of Liability
To the maximum extent permitted by applicable law, STS and its Representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Services. Your exclusive remedy is to cease use of the Services. In no event shall STS's total liability exceed the amount you paid in subscription fees in the twelve months preceding the claim.
17. Modifications to Services
STS reserves the right to change, suspend, or discontinue any portion of the Services, including contributors, delivery methods, or content, at any time and without prior notice. Continued use of the Services after such changes indicates your acceptance.
18. Governing Law and Legal Notices
These Terms shall be governed by the laws of the State of New Jersey. Any legal action arising under these Terms shall be brought exclusively in the state courts located in New Jersey. You may contact us for legal or operational inquiries at info@suttmeiertechnicals.com.
19. Privacy and California Disclosures
STS respects your privacy. We collect minimal personal data, typically name and email, for managing subscriptions and preventing fraud. We do not sell your personal data. Disclosures may be made to comply with legal obligations or protect our rights.

20. Access Restrictions and Technology Use
You agree not to:
• Use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses our services in a manner that sends more request messages to the servers than a human can reasonably produce in the same
period.
• Circumvent, disable or otherwise interfere with any security-related features or features that prevent or restrict use or copying of any content or enforce limitations on the use of the services or the content therein. Violations of this section may result in immediate termination of your access and may be subject to civil and criminal liability.

Suttmeier Technical Strategies, LLC ("STS"), including its owners, employees, contractors, or affiliates (collectively, "Representatives"), may hold positions—long or short—in the securities or financial instruments discussed in our commentary, reports, or other published materials.
Any such holdings may be established or liquidated at any time without prior notice and without obligation to disclose transactions before or after publication. These positions may create a potential conflict of interest, particularly where opinions or analysis could
be perceived as being influenced by our financial interests. However, all analysis provided by STS is intended strictly for informational and educational purposes and reflects our good faith, independent views at the time of publication. STS does not receive compensation for mentioning or recommending specific securities.
You should assume that we may have a financial interest in any security mentioned, and you are advised to perform your own due diligence and consult with a qualified investment professional before making any investment decisions.
